1. Acceptance of Terms

By accessing or using the services provided by JSM Nexus ("Company", "we", "us", or "our"), incorporated and operating under the laws of the Republic of Singapore, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

2. Description of Services

JSM Nexus provides cloud-native SaaS application development, software engineering consulting, and related digital products ("Services"). We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. User Obligations

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable national or international law or regulation (including the laws of Singapore).
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Services or servers.
• Use our Services to transmit any malicious code, viruses, or harmful data.

4. Intellectual Property Rights

All content, features, functionality, and software code provided through JSM Nexus are the exclusive property of the Company and are protected by Singapore and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

5. Subscription, Payment & Refund Policy

5.1 Subscription Plans

JSM Nexus offers Monthly and Yearly subscription plans for its software products. All subscription payments are securely processed through Stripe, a PCI-compliant payment processor.

5.2 Automatic Renewal

All subscriptions are automatically renewed at the end of each billing cycle unless canceled by the user prior to the renewal date. You may cancel auto-renewal at any time through your account settings. Upon cancellation of auto-renewal, you will continue to have access to the service until the end of the current billing period.

5.3 Refund Policy

Subscription fees are non-refundable upon cancellation. When you cancel a subscription, you retain access to the service for the remainder of the paid billing period. In exceptional circumstances, JSM Nexus may, at its sole discretion, provide a full or prorated refund (calculated based on the remaining unused portion of the billing period).

5.4 Plan Upgrades

When upgrading from a Monthly to a Yearly plan, the remaining unused portion of the current Monthly subscription is prorated and credited toward the Yearly subscription fee. The upgrade takes effect immediately upon confirmation.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall JSM Nexus, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of Singapore.
